Introduction

  • This site (“the VIRT Site”), which is operated by Global Health Strategies, LLC (“GHS,” “we” or “us”), provides you and every other use of the VIRT Site (each a “User”) a comprehensive crowd-sourced database of listings of conferences and other events (“Events”) on diverse topics of global concern, including COVID-19, climate, economic opportunity, and sustainable development (“Event Listings”), copies of materials that were displayed or distributed at or in connection with such Events (“Event Materials”), and/or audiovisual recordings of all or part of such Events (“Event Recordings”). Event Listings, Event Materials, and Event Recordings will be referred to collectively as “Listing Material.” Once you have set up a user account (a “User Account”), you may review Listing Material uploaded by others and submit your own Listing Material to the VIRT Site for our review.

  • These terms of use (the “Terms of Use”) contain the complete terms and conditions that apply to your use of the VIRT Site. These Terms of Use are a legally binding agreement between you and GHS, and they supersede any information that may be provided to you in any other way or form about the VIRT Site. The Terms of Use will remain in full force and effect as long as you use the VIRT Site, unless and until we notify you that they have changed and you agree to the changed Terms of Use by using the VIRT Site after such notification, and they will govern any interaction between you and GHS that concerns any Listing Material.

Accuracy of User Account Information

You represent and warrant that all information that you provide in your User Account will be accurate and complete.

Grant of Licenses in Listing Material

By uploading any Listing Material to the VIRT Site, you hereby grant the following licenses (“Listing Licenses”) with respect to that Listing Material, including, without limitation, with respect to any (i) static images or likenesses of identifiable people, (ii) personally identifying information of any individual, (ii) printed or visual material, including written outlines or display slides, (iii) recordings of live remarks, speeches, presentations, or panels, and (iv) musical recordings, that are included in or incorporated into that Listing Material:

  • To GHS and its licensees

    • An irrevocable, worldwide, royalty-free, perpetual, transferable, non-exclusive license to reproduce, publicly display, publicly perform, distribute copies of, and create derivative works (adaptations) of such Listing Material on or in connection with the VIRT Site. These rights include, without limitation, the rights to share, publish, edit, translate, reformat, host, aggregate, and display such Listing Material in whole or in part, alone or as part of other works, in any form or medium now known or hereafter developed, in any order or arrangement, as we may see fit in our sole discretion.

    • An irrevocable, worldwide, royalty-free, perpetual, transferable, non-exclusive license to display the trademark(s) of the organization that is identified in the Listing Material as having produced and/or distributed the Event, the Event Material or Event Recording described or included in such Listing Material, solely for the purpose of identifying and promoting such event, Event Material, or Event Recording on the VIRT Site.

  • To each other User

    An irrevocable, worldwide, royalty-free, perpetual, transferable, non-exclusive license to access, reproduce, publicly display, publicly perform, and distribute copies of such Listing Material on or through the VIRT Site for the purpose of viewing and/or listening to such Listing Material and any information that it contains.

No Guarantee of Publication

Uploading Listing Material does not guarantee that such Listing Material will be made available to other Users. GHS has sole discretion to decide which Listing Material to retain and which Listing Material to delete.

Representations and Warranties

You represent and warrant to us that at the time you upload any Listing Material:

  • You have full power and authority to grant the Listing Licenses in such Listing Material.

  • All factual information in each Event Listing, including, without limitation, all names, dates, times, and descriptions of subject matter will be accurate, timely and complete.

  • Neither any Listing Material that that comes from your site or refers to Events produced by your organization, nor your submission or uploading of such Listing Material will:

    • Infringe anyone’s copyright, trademark, or other intellectual property rights or other proprietary rights;

    • Violate any laws relating to unfair competition, false advertising, or discrimination;

    • Defame any person or entity or violate any person’s rights of privacy or publicity;

    • Constitute, enable, facilitate, or encourage spam, pyramid schemes, phishing, "spam" or other illegal activities;

    • Breach any confidentiality or other agreement between you and a third party;

    • Harass or threaten anyone;

    • Be obscene or pornographic;

    • Violate any law, ordinance or regulation; or

    • Include any personally identifying information (e.g., names, e-mail addresses, or phone numbers) that did not appear in previous unrestricted public postings of such Listing Material.

Prohibited Uses of Listing Material

You may not reproduce, display, perform, distribute copies of, or otherwise use any Listing Material of any third party for any purpose other than your own personal use. Without limiting the foregoing, you may not use or assist or contribute to any third party’s use of any Listing Material in any way that would compete with the business of the VIRT Site.

Intellectual Property

GHS owns all content on the VIRT Site other than the contents of individual items of Listing Material and any third-party trademarks that appear in such Listing Material, including, without limitation, the compilation of Listing Material on the VIRT Site at any time, all trademark rights in the name VIRT, Global Health Strategies and GHS, and all patent rights in the Site (all together, for purposes of these Terms of Use, “GHS Intellectual Property”). Each individual item of Listing Material is owned by the party that produced the Event, Event Material or Event Listing included in such Listing Material. Any third party whose trademark appears in any Listing Material owns such trademark.

DISCLAIMER OF WARRANTIES

GHS owns all content on the VIRT Site other than the contents of individual items of Listing Material and any third-party trademarks that appear in such Listing Material, including, without limitation, the compilation of Listing Material on the VIRT Site at any time, all trademark rights in the name VIRT, Global Health Strategies and GHS, and all patent rights in the Site (all together, for purposes of these Terms of Use, “GHS Intellectual Property”). Each individual item of Listing Material is owned by the party that produced the Event, Event Material or Event Listing included in such Listing Material. Any third party whose trademark appears in any Listing Material owns such trademark.

  • GHS DOES NOT FACT-CHECK ANY LISTING MATERIAL AND EXPRESSLY DISCLAIMS ANY REPRESENTATION OR WARRANTY ABOUT THE TIMELINESS, ACCURACY OR COMPLETENESS OF ANY LISTING MATERIAL, INCLUDING, WITHOUT LIMITATION, ANY REPRESENTATION OR WARRANTY ABOUT ANY PROFESSIONAL CREDIT THAT YOU MAY BE ELIGIBLE TO RECEIVE AS A RESULT OF ATTENDING AN EVENT LISTED IN ANY EVENT LISTING, READING ANY EVENT MATERIAL, OR LISTENING TO OR WATCHING ANY EVENT RECORDING.

  • GHS DISCLAIMS ANY REPRESENTATION OR WARRANTY OF MERCHANTIBILITY OR FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTY OF ANY KIND RELATING TO THE TECHNICAL RESULTS OF YOUR USE OF OR INTERACTION WITH THE SITE, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY THAT THE SITE WILL OPERATE CONTINUOUSLY OR ERROR-FREE ON YOUR OPERATING SYSTEM OR THAT ANY USER CONTENT ON THE VIRT SITE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

  • Limitation on Disclaimers of Warranty. Some jurisdictions do not allow the disclaimer of implied warranties, so some of the foregoing disclaimers may not apply to you insofar as they relate to implied warranties.

Indemnity

You will indemnify and hold harmless GHS and its affiliates, partners, directors, employees, agents and representatives from any loss, liability, claim, demand, fees, and expenses, including reasonable attorney’s fees (collectively, “Claims“) made by any third party (which means anyone other than you) due to or arising out of your use of the VIRT Site or any Listing Material, including, without limitation, your posting of any Listing Material.

LIMITATION OF LIABILITY

UNDER NO CIRCUMSTANCES WILL GHS OR ANY OF ITS RESPECTIVE AFFILIATES, PARTNERS, DIRECTORS, EMPLOYEES, AGENTS AND REPRESENTATIVES BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (EVEN IF THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) RESULTING FROM ANY ASPECT OF YOUR USE OF THE VIRT SITE OR YOUR USE OF OR RELIANCE ON ANY LISTING MATERIAL. THESE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. In some jurisdictions, limitations of liability are not permitted, so some of the foregoing limitations may not apply to you.

Termination of Access to the VIRT Site

If you violate the Terms of Use, we may block your access to the VIRT Site, remove any Listing Material that you posted, and terminate your User Account, in our sole discretion.

Communication

  • We may contact you in different ways. We may provide notifications to you via email notice, “push” notifications (“Messages”) on your Mobile Device (as defined in our Privacy Notice), or through posting of such notices on the VIRT Site, as determined by us in our sole discretion.

  • Make sure you can get our emails. We are not responsible for any automatic filtering you or your network provider may apply to email notifications we send to the email address you provide us. We recommend that you add __________ to your email address book to help ensure that you receive email notifications from us.

Governing Law, Jurisdiction, and Time Limit on Claims

You agree that (i) the VIRT Site shall be deemed solely based in New York; and (ii) the VIRT Site shall be deemed a passive site that does not give rise to personal jurisdiction over GHS, either specific or general, in jurisdictions other than New York. If you have any dispute with GHS that is not barred by the Terms of Use, the dispute will be governed by the laws of the State of New York without regard to its conflict of law provisions. You hereby submit to personal jurisdiction by and venue in the state and federal courts of Manhattan, New York. Regardless of any statute or law to the contrary, you agree that any claim or cause of action arising out of or related to use of the VIRT Site or the Terms of Use must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred.

Additional Terms

Our failure to exercise or enforce any right or provision of the Terms of Use will not constitute a waiver of such right or provision. If a court of competent jurisdiction holds any provision of the Terms of Use invalid, the court should try to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms of Use will remain in full force and effect.
